Board of Directors’ Responsibilities:
- Establish and maintain Policies and directives governing the business, programs, and services of the organization.
- Determining the organization’s mission
- Approving the organization’s annual budget
- Providing proper financial oversight
- Ensuring legal and ethical integrity
- Establishing governance policies
- Interviewing and electing officers
- Maintaining the organization’s accountability
- Delegate to the Executive Director of the Organization
- Serve a minimum 1-year term
- Be available for Board and Committee Meetings (Minimum attendance is required)
- Required Meetings (Meetings will be scheduled well in advance)
- (4) Full Board meetings Annually (times and dates determined by the Executive Committee)
- Monthly Committee Meetings (time and date to be determined by the specific Committee)
- Other Meetings
- Some meetings may be called to handle specific issues. Attendance may be requested but may not be required.
- Required Meetings (Meetings will be scheduled well in advance)
- Could possibly serve in any of these officer positions (or any ad hoc positions in the future:
- Chair of the Board – Responsible for the organization, presides over meetings, & executes business in the name of the board.
- Vice Chair of the Board – To lead the board in the absence of the Chair.
- Secretary – Custodian of Records, Keep minutes of each meeting.
- Treasurer – responsible for the treasury and finances of the organization. Approves policies related to spending.
- Serve on 1 or more Committees:
- Executive Committee – Composed only of Board officers and Committee leaders. Builds Meeting Agendas and overall runs the day-to-day organization business.
- Public Awareness Committee – Composed of at least 2 Directors (1 to chair, 1 to record minutes) and any other members of the public with expertise in the subject. To develop our on-brand messaging and overall make decisions related to Public Awareness and communication.
- Finance and Fundraising Committee – Composed of at least 2 Directors (1 to chair, 1 to record minutes) and any other members of the public with expertise in the subject. Be responsible for day-to-day finances, budgeting, and fundraising of the Organization.
- Programs Committee – Composed of at least 2 Directors (1 to chair, 1 to record minutes) and any other members of the public with expertise in the subject. Vet new mentors and manage current services or work on developing new services.
